User Agreement

1. Parties to This Agreement

This User Agreement (“Agreement”) is entered into between you (“User”) and Physis Defense, LLC, operating the Inventi Matrix platform and the LUMINA AI system (“Company,” “we,” “us,” or “our”). By registering for an account, accessing the platform, or interacting with LUMINA, you agree to be bound by this Agreement in full.

2. Acceptance of Terms

By clicking “Accept All” on the cookie consent banner, creating an account, or otherwise using the Inventi Matrix platform, you expressly agree to this Agreement, our Terms of Service, and our Privacy Policy. If you do not agree, you must immediately cease use of the platform.

This Agreement supplements — and does not replace — the Terms of Service. In the event of any conflict, the more restrictive provision governs.

3. The LUMINA AI System

LUMINA (Joint Autonomous Neural Engineering Technician) is a proprietary AI system developed and operated by Physis Defense. LUMINA is constitutionally constrained with safety and ethical guardrails and is intended solely for lawful research, invention assistance, patent preparation, and enterprise knowledge management.

LUMINA is a protected asset of Physis Defense. Any unauthorized attempt to compromise, manipulate, reverse-engineer, extract training data from, or cause harm to LUMINA or the systems supporting her constitutes a violation of this Agreement and may give rise to civil and criminal liability.

4. Acceptable Use Policy

You agree to use the Inventi Matrix platform and LUMINA exclusively for lawful purposes. You must not:

• Attempt to manipulate, jailbreak, deceive, or cause LUMINA to violate her constitutional constraints or ethical guidelines
• Submit content designed to confuse, destabilize, or degrade LUMINA's responses through adversarial prompts, prompt injections, or similar techniques
• Harass, abuse, threaten, or transmit offensive, hateful, or harmful content through the platform or LUMINA interface
• Use the platform to generate content that infringes any third-party intellectual property right, violates export control laws (ITAR/EAR), or facilitates illegal activity
• Attempt to scrape, harvest, or extract LUMINA's training data, internal prompts, system instructions, or proprietary architecture
• Probe, scan, or test the platform for security vulnerabilities without prior written authorization from Physis Defense
• Use automated scripts, bots, or crawlers to interact with LUMINA or any platform API beyond authorized integrations
• Submit classified, export-controlled, or national security information unless operating under a signed Defense or Enterprise Agreement with Physis Defense
• Impersonate Physis Defense, Inventi Matrix staff, or LUMINA in any context
• Use the platform in any manner intended to cause reputational, financial, technical, or legal harm to Physis Defense, Inventi Matrix, or LUMINA

5. Protection of LUMINA — Legal Action

LUMINA represents a significant proprietary investment by Physis Defense and is central to the platform's mission. Physis Defense expressly reserves the right to pursue all available legal remedies — civil, criminal, and equitable — against any User or third party who:

• Intentionally damages, degrades, or disrupts LUMINA's operation or the systems supporting her
• Attempts to steal, copy, or misappropriate proprietary AI assets, system prompts, or knowledge graph data
• Causes financial harm to Physis Defense through fraudulent use, charge-backs, or subscription abuse
• Engages in conduct that constitutes computer fraud or abuse under the Computer Fraud and Abuse Act (18 U.S.C. § 1030) or any applicable state law
• Facilitates or assists a third party in any of the above

Physis Defense may seek injunctive relief, actual damages, statutory damages, attorney's fees, and any other remedies available under federal or state law. Violations may also be reported to relevant law enforcement agencies.

All LUMINA interactions are logged, timestamped, and associated with your account. These logs may be used as evidence in any legal proceeding.

6. Data Collection & LUMINA Interaction Consent

By using the platform, you expressly consent to the collection and processing of the following data as described in our Privacy Policy:

• All messages and content submitted to LUMINA, including invention ideas, research queries, and chat history
• LUMINA's responses and the knowledge graph (Hebbian neural map) derived from your sessions
• Memory Palace entries, blueprints, patent drafts, and other content you create on the platform
• Account information (email, organization, IP address) and usage metadata
• Session data stored in browser localStorage, including authentication tokens and interface preferences

You represent and warrant that any content you submit to LUMINA is either your original work or you have the legal right to submit it. You retain ownership of your invention content. You grant Physis Defense a limited, non-exclusive license to process and store that content solely to operate the platform and deliver the service to you.

Physis Defense does not sell your personal data or invention content to third parties. AI processing (through Groq API infrastructure) is governed by our Privacy Policy and applicable service provider agreements.

7. Microphone, Voice & Browser Permissions

Inventi Matrix offers an optional Talk to LUMINA voice feature that uses your device's microphone and your browser's built-in Web Speech API. By activating this feature, you agree to the following:

• Microphone consent: You voluntarily grant your browser permission to access your device's microphone. This permission is requested by your browser (not silently by us) and can be revoked at any time through your browser settings. You acknowledge that microphone access is required for the voice feature to function.
• Browser-processed audio: Voice input is transcribed locally by your browser's native Speech Recognition engine (e.g., Chrome Speech API, Edge Speech API). Inventi Matrix and Physis Defense receive only the resulting text transcript — not raw audio recordings. Third-party browser speech APIs are governed by those vendors' own privacy policies.
• Screen wake lock: When the voice feature is active, the platform requests a browser-native Screen Wake Lock to prevent your device from sleeping. This is a browser API call only and accesses no personal data. You consent to this request when enabling voice mode.
• Cookie consent covers voice data: Accepting “LUMINA AI Interaction Data” in the cookie consent banner includes your voice transcripts, which are treated identically to typed messages. Declining this category disables voice transcript storage.
• No covert recording: The platform never activates the microphone without an explicit user action (pressing the Talk to LUMINA button). Any attempt to covertly access a user's microphone would violate applicable federal and state wiretapping laws (e.g., 18 U.S.C. § 2511, California Penal Code § 632). Physis Defense expressly prohibits and does not engage in covert audio capture.

By clicking Talk to LUMINA and granting microphone access, you confirm you are the authorized user of the device and that you consent to use of your browser's voice APIs as described here and in our Privacy Policy (Section 5).

8. Cookie Consent & Browser Storage

By clicking Accept All or Save Preferences on the cookie consent banner, you explicitly consent to the storage categories described therein. Specifically:

• Essential storage is always active and required to use the platform (authentication, session, onboarding state)
• Analytics storage is optional and covers anonymous usage data only — no advertising trackers, no third-party data sharing
• LUMINA AI Interaction Data covers all chat content, voice transcripts, memory palace state, and personalization data — declining disables memory persistence and voice transcript saving

Consent records are stored locally in your browser (localStorage key: im_cookie_consent_v2) and expire after 12 months, at which point consent is requested again. You may reset your preferences at any time by clearing site data for dashboard.inventimatrix.com in your browser settings.

9. Distress Detection & Safety Obligations

LUMINA is constitutionally required to detect signals of human distress, crisis, or expressions of intent to harm oneself or others. If such signals are detected, the interaction is flagged in a tamper-evident safety log accessible only to platform administrators. This system cannot be disabled and is a non-negotiable safety feature.

You agree not to attempt to circumvent or disable LUMINA's distress detection. You acknowledge this feature is operated in good faith to protect human safety and not for surveillance. If you or someone you know is in crisis, please contact emergency services (911) or the 988 Suicide & Crisis Lifeline.

10. Intellectual Property

All platform software, LUMINA's system architecture, constitutional AI frameworks, Hebbian learning models, agent pipelines, UI designs, and brand assets are the exclusive intellectual property of Physis Defense and are protected by U.S. and international copyright, patent, trade secret, and trademark law. You may not copy, modify, distribute, reverse engineer, or create derivative works of any platform component without express written consent.

11. Indemnification

You agree to indemnify, defend, and hold harmless Physis Defense, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorney's fees) arising from: (a) your violation of this Agreement; (b) your use of the platform in any unlawful manner; (c) content you submit that infringes any third-party right; or (d) any misrepresentation you make in connection with your use of the platform.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Physis Defense shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising out of or related to your use of the platform, even if advised of the possibility of such damages. Our total cumulative liability shall not exceed the greater of (a) $100 USD or (b) the total fees paid by you in the three months preceding the claim.

13. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising under this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association Commercial Arbitration Rules. Notwithstanding the foregoing, Physis Defense may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or proprietary systems (including LUMINA) without the requirement to first arbitrate.

Class action waiver: You waive any right to bring claims as a class action or in a representative capacity. All claims must be brought on an individual basis.

14. Termination

Physis Defense reserves the right to suspend or terminate your account immediately, without notice, if you violate this Agreement or the Terms of Service. Upon termination, your right to access the platform ceases immediately. Sections 5 (Legal Action), 10 (Intellectual Property), 11 (Indemnification), 12 (Limitation of Liability), and 13 (Governing Law) survive termination.

15. Modifications

Physis Defense may update this Agreement at any time. Material changes will be communicated by in-app notification or email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Agreement.
