Physis Defense Systems Inc. ("Physis Systems") develops and operates dual-use defense technologies. Certain products, software, and technical data made available through Inventi Matrix and LUMINA may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS) and the International Traffic in Arms Regulations (ITAR) administered by the Directorate of Defense Trade Controls (DDTC).

1. Overview

Access to, transfer of, or use of Physis Systems technology, software, or technical data by foreign nationals, foreign entities, or individuals in embargoed countries may require prior authorization from the applicable U.S. government agency. By accessing this platform, you represent that you are not a Denied Party and that your use does not violate applicable export control laws.

2. Export Administration Regulations (EAR)

Technologies and software offered by Physis Systems may be classified under Export Control Classification Numbers (ECCNs) on the Commerce Control List (CCL). Items subject to EAR may require an export license depending on the destination country, end-user, and end-use.

  • Dual-use software and AI systems may require BIS review prior to international distribution.
  • Deemed export rules apply to release of controlled technology to foreign nationals within the United States.
  • Re-export and in-country transfer restrictions apply to all EAR-controlled items.

3. International Traffic in Arms Regulations (ITAR)

Defense articles and defense services — including technical data — related to items enumerated on the U.S. Munitions List (USML) are subject to ITAR. Unauthorized export, re-export, or transfer of ITAR- controlled items is strictly prohibited and may result in criminal and civil penalties.

  • ITAR clearance is required before accessing defense-tier features within Inventi Matrix.
  • ITAR-controlled technical data will not be disclosed to foreign persons without required authorizations.
  • Platform tiers subject to ITAR controls are enforced at the account level by Physis Systems.

4. Restricted Parties & Embargoed Destinations

Physis Systems does not permit use of its platform or services by individuals or entities identified on U.S. government restricted party lists, including but not limited to:

  • BIS Entity List, Denied Persons List, and Unverified List
  • OFAC Specially Designated Nationals (SDN) List
  • DDTC Debarred Parties List

Access from comprehensively embargoed countries or regions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) is prohibited.

5. User Obligations

By using Physis Systems products and services, you agree to:

  • Comply with all applicable U.S. and international export control laws and regulations.
  • Not export, re-export, or transfer any controlled technology without required government authorizations.
  • Promptly notify Physis Systems of any potential compliance concerns at contact@physissystems.com.
  • Not use the platform in furtherance of weapons of mass destruction programs or activities.
